近日，上海金融法律共同體召開(kāi)第一次聯(lián)席會(huì)議，會(huì)上同步發(fā)布了上海商事調(diào)解“和”計(jì)劃海外版，面向出海企業(yè)、相關(guān)行業(yè)組織及法律服務(wù)機(jī)構(gòu)發(fā)出倡議，推廣“商事調(diào)解+仲裁(MA)”跨境爭(zhēng)議解決模式。

在跨境交易風(fēng)險(xiǎn)管理中， 采用“商事調(diào)解+仲裁”的爭(zhēng)議解決方式，既能發(fā)揮商事調(diào)解靈活高效、成本較低、保密性好、維護(hù)合作關(guān)系及調(diào)解協(xié)議可在《新加坡調(diào)解公約》22個(gè)締約國(guó)執(zhí)行的優(yōu)勢(shì)，又可獲得仲裁程序中立、 一裁終局、仲裁裁決可依據(jù)《紐約公約》在172個(gè)締約國(guó)執(zhí)行的益處，相較于單一調(diào)解、仲裁或訴訟，是一種成本更優(yōu)、體驗(yàn)更佳、保障更強(qiáng)的綜合解決方案。

凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，各方均同意先提交【調(diào)解組織名稱】進(jìn)行為期【30/45/60】日的調(diào)解。調(diào)解成功且需在《新加坡調(diào)解公約》締約國(guó)執(zhí)行的，可要求調(diào)解組織出具相關(guān)證明材料；需在非《新加坡調(diào)解公約》締約國(guó)執(zhí)行的，應(yīng)申請(qǐng)【仲裁機(jī)構(gòu)名稱】依其仲裁規(guī)則作出仲裁裁決書(shū)。調(diào)解不成的，當(dāng)事人應(yīng)提交【仲裁機(jī)構(gòu)名稱】進(jìn)行仲裁，仲裁地為【中國(guó)上海/…】。

《新加坡調(diào)解公約》是什么？

全稱《聯(lián)合國(guó)關(guān)于調(diào)解所產(chǎn)生的國(guó)際和解協(xié)議公約》，簡(jiǎn)稱《新加坡調(diào)解公約》，對(duì)標(biāo)國(guó)際仲裁領(lǐng)域《紐約公約》，是全球首部專門針對(duì)商事調(diào)解跨境執(zhí)行的多邊國(guó)際公約，2018年聯(lián)合國(guó)大會(huì)通過(guò)、2019年在新加坡開(kāi)放簽署，2020年9月12日正式生效。核心作用是破除各國(guó)司法壁壘，解決跨境商事調(diào)解協(xié)議跨國(guó)強(qiáng)制執(zhí)行難題，符合條件的國(guó)際商事和解協(xié)議可直接向公約締約國(guó)法院申請(qǐng)強(qiáng)制執(zhí)行。我國(guó)已于2019年作為首批國(guó)家簽署該公約，但尚未完成國(guó)內(nèi)批準(zhǔn)程序，目前公約在我國(guó)尚未正式生效。

需要特別說(shuō)明的是，公約不設(shè)互惠保留條款，即締約國(guó)對(duì)所有符合公約要求的國(guó)際商事和解協(xié)議均應(yīng)履行執(zhí)行義務(wù)，不要求和解協(xié)議來(lái)源國(guó)或當(dāng)事人所屬國(guó)也是締約國(guó)，具有普惠執(zhí)行的特性。

In the management of cross-border transaction risks, adopting a dispute resolution approach that com- bines "commercial mediation + arbitration" enables parties to leverage the advantages of commercial mediation — including ?exibility, e?ciency, lower costs, con?dentiality, preservation of business relation- ships, and direct enforceability in 22 Contracting States to the Singapore Convention on Mediation — while also bene?ting from the neutrality of arbitral proceedings, ?nality of awards, and enforceability in 172 Con- tracting States under the New York Convention. Compared to standalone mediation, arbitration or litigation, this integrated solution o?ers superior cost-e?ectiveness, a better experience, and stronger enforcement guarantees.

In light of the foregoing, we cordially invite enterprises venturing overseas, chambers of commerce and industry associations, and law ?rms to join the Shanghai Commercial Mediation "HE" Program — Interna- tional Edition, and to broadly promote and adopt the "Commercial Mediation + Arbitration" (MA) Model Clause in commercial activities, thereby contributing to the establishment of a stable, transparent, and mutually bene?cial international business environment.

Any dispute arising out of or in connec- tion with this contract shall ?rst be submitted to [Name of Mediation Organization] for mediation for a period of [30/45/60] days. If the mediation is successful and enforcement is sought in a contracting state to the Singapore Convention on Mediation, the parties may request the mediation organization to issue the relevant certi?cation documents; if enforcement is sought in a non-contracting state to the Singapore Convention on Mediation, the parties shall apply to [Name of Arbitration Institution] to render an arbitral award in accordance with its arbitration rules. If mediation fails, the parties shall submit the dispute to [Name of Arbitration Institution] for arbitration, with the seat of arbitration being [Shanghai, China / ...].

Enterprises expanding overseas may submit their applications via a dedicated QR code. Leveraging localized resources including overseas branches of Shanghai law ?rms, overseas outlets of Shanghai arbitration institutions, overseas service stations of Shanghai commercial mediation organizations, overseas outlets of the Shanghai Financial Association and ?nancial institutions, overseas service networks of CCPIT Shanghai, as well as overseas Chinese associations and Chinese chambers of commerce, we will build and improve Shanghai’s overseas legal services network. Services provided include targeted policy brie?ngs and guidance, guidance on embedding MA Model Clauses, and support in applying for direct enforcement of international commercial mediationsettlement agree- ments in the 22 Contracting States to the Singapore Convention on Mediation (Fiji, Qatar, Singapore, Saudi Arabia, Belarus, Ecuador, Honduras, Turkey, Georgia, Kazakhstan, Uruguay, Japan, Nigeria, Sri Lanka, Israel, Bahrain, Paraguay, Costa Rica, Brazil, as well as Kyrgyzstan e?ective 1 June 2026, Oman e?ective 10 September 2026, and Colombia e?ective 12 September 2026; data as of 25 May 2026).

Registration, participation, and training for empowerment.

Enterprises expanding overseas may register for online and o?ine seminars, training sessions, and cross-border exchange events through the Shanghai Enterprises Going Global Comprehensive Service Platform, the Shanghai International Legal Services Hub Platform, and other channels. Partic- ipants may obtain, free of charge, bilingual (Chinese-English) model texts, practical operation guides, and typical case study materials, thereby enhancing their awareness of, con?dence in, and actual use of the MA Model Clause, and strengthening their capacity to prevent and respond to cross-border disputes.

Priority incentives and coordinated services.

Enterprises expanding overseas that embed and apply the MA Model Clause in their commercial contracts may apply to be included in the directory of outstanding cooperation partners and receive priority access to dedicated training, case showcasing, and brand promotion services. The relevant commercial mediation organizations and arbitration institutions will optimize the processes, mecha- nisms, and service standards for mediation-arbitration integration, building a comprehensive, one-stop, e?cient, and convenient cross-border dispute resolution service system, so that enterpris- es can explore overseas markets with greater ease, e?ciency, and peace of mind.
