Statement by Wingtech Technology Co., Ltd.

近日，安世半導(dǎo)體（Nexperia B.V.，“安世荷蘭”）發(fā)布公開聲明，聲稱自安世半導(dǎo)體事件發(fā)生以來，其多次要求與聞泰科技股份有限公司（“聞泰”或“我司”）管理層溝通，尋求建設(shè)性解決方案，但未獲積極回應(yīng)；并聲稱其已全面配合聞泰科技開展審計(jì)工作。安世半導(dǎo)體的該等聲明歪曲事實(shí)，企圖混淆視聽，給市場(chǎng)帶來極大誤導(dǎo)性。我司現(xiàn)就相關(guān)情況鄭重聲明如下：

Recently, Nexperia B.V. ("Nexperia Netherlands") issued a public statement, claiming that since the occurrence of the Nexperia incident, it has repeatedly requested to communicate with the management of Wingtech Technology Co., Ltd. ("Wingtech" or "our company") to seek constructive solutions but has not received a positive response. It also claimed that it has fully cooperated with Wingtech Technology in conducting audit work. Such statements by Nexperia distort the facts, attempt to mislead the public, and bring significant misinformation to the market. Our company hereby solemnly states the following regarding the relevant situation:

一、關(guān)于安世半導(dǎo)體阻撓我司正常審計(jì)工作的說明

I. Explanation on Nexperia's obstruction of our company's normal audit work

我司所聘請(qǐng)的審計(jì)機(jī)構(gòu)對(duì)本公司 2025 年度財(cái)務(wù)報(bào)告及內(nèi)部控制審計(jì)報(bào)告出具了“無法表示意見”，這一令人遺憾的事件的根本原因在于2025年10月，在荷蘭經(jīng)濟(jì)部不當(dāng)干預(yù)下，安世荷蘭通過向企業(yè)法庭發(fā)起不當(dāng)?shù)脑V訟程序，非法地剝奪了聞泰科技作為安世半導(dǎo)體股東的控制權(quán)和合法股東權(quán)益，導(dǎo)致了聞泰科技無法對(duì)安世半導(dǎo)體境外主體實(shí)施有效合并，審計(jì)范圍嚴(yán)重受限。

The audit firm engaged by our company issued “disclaimer of opinion” on our company's 2025 financial report and internal control report. The root cause of this regrettable event lies in the improper intervention by the Ministry of Economic Affairs of the Netherlands in October 2025, during which Nexperia Netherlands initiated improper litigation procedures with the Enterprise Chamber, illegally depriving Wingtech Technology of its control and legitimate shareholder rights as a shareholder of Nexperia. This resulted in Wingtech Technology being unable to effectively consolidate Nexperia's overseas entities, severely limiting the audit scope.

盡管我司采取了一系列積極行動(dòng)來消除上述事件的影響，但安世荷蘭仍多次故意阻撓我司審計(jì)工作，例如：

Despite our company's proactive efforts to mitigate the impact of the above incident, Nexperia Netherlands has repeatedly and deliberately obstructed our audit work, such as:

• 公司在對(duì)安世半導(dǎo)體境外資產(chǎn)按其他權(quán)益工具投資重新計(jì)量時(shí)，安世荷蘭拒絕提供與估值相關(guān)的未來經(jīng)營(yíng)計(jì)劃、盈利預(yù)測(cè)等核心資料，導(dǎo)致評(píng)估機(jī)構(gòu)的估值底稿核查性受限，其最終做出的估值的充分性無法得到驗(yàn)證；

  Upon remeasurement of Nexperia's overseas entities as other equity instruments, Nexperia Netherlands refused to provide the necessary materials related to valuation, such as future business plans and financial forecasts, limiting the auditor’s ability to review the valuation working papers and rendering it unable to verify the comprehensiveness of the valuation;

• 安世荷蘭單方面關(guān)閉相關(guān)IT系統(tǒng)，拒絕向?qū)徲?jì)機(jī)構(gòu)開放訪問權(quán)限，同時(shí)拒絕提供2025年9月30日之后（包括留存在原IT系統(tǒng)內(nèi)安世中國(guó)相關(guān)的）財(cái)務(wù)資料，導(dǎo)致審計(jì)機(jī)構(gòu)無法完整執(zhí)行2025年第四季度的內(nèi)部控制及財(cái)務(wù)審計(jì)程序。

  Nexperia Netherlands unilaterally shut down relevant IT systems, refused to grant access rights to the audit firm, and refused to provide financial data after September 30, 2025 (including data related to Nexperia China stored in the original IT system), causing the audit firm to be unable to fully execute internal control and financial audit procedures for the fourth quarter of 2025.

安世荷蘭的上述行為，嚴(yán)重阻礙上市公司的正常經(jīng)營(yíng)，也給廣大投資者造成了重大損失。對(duì)于上述行為給我司及廣大投資者所造成的損失，我司保留依法追究安世荷蘭及其相關(guān)高管的責(zé)任并要求其賠償?shù)臋?quán)利，以最大程度維護(hù)上市公司及廣大投資者的合法權(quán)益。

Nexperia Netherlands’s aforementioned actions directly resulted in significant risks to the operations of the listed company and substantial losses to investors. With regard to the losses incurred by our company and investors as a result of these actions, we reserve the right to hold Nexperia Netherlands and its relevant executives legally liable and to seek compensation from them, in order to protect the legitimate rights and interests of the listed company and investors to the greatest extent possible.

二、公司維護(hù)合法權(quán)益的決心及溝通立場(chǎng)

II. The company's determination to safeguard legitimate rights and interests and its stance

自安世半導(dǎo)體事件發(fā)生以來，我司本著對(duì)廣大投資者負(fù)責(zé)任的態(tài)度和維護(hù)全球客戶利益的原則，我方多次主動(dòng)釋放善意，明確表達(dá)了愿意與安世荷蘭方面就如何恢復(fù)聞泰科技的合法控制權(quán)、妥善解決當(dāng)前爭(zhēng)端進(jìn)行建設(shè)性溝通。我方更是多次通過不同場(chǎng)合、多種途徑，主動(dòng)向安世荷蘭表達(dá)愿意通過協(xié)商共同尋求解決方案。安世荷蘭在其公開聲明中聲稱聞泰科技回避與其開展溝通完全與事實(shí)不符。

Since the occurrence of the Nexperia incident, our company, with a responsible attitude towards the majority of investors and adhering to the principle of safeguarding the interests of global customers, has repeatedly demonstrated goodwill and clearly expressed its willingness to engage in constructive communication with Nexperia Netherlands on how to restore Wingtech Technology's legitimate control and properly resolve the current dispute. We have also proactively expressed our willingness to seek solutions through consultation on multiple occasions and through various channels. The claim by Nexperia Netherlands in its public statement that Wingtech Technology has avoided communication with it is completely inconsistent with the facts.

我司認(rèn)為，任何關(guān)于妥善解決安世半導(dǎo)體事件的溝通，都應(yīng)在平等、公平的基礎(chǔ)上，充分保障聞泰科技股東的合法權(quán)益。我司將始終以此為原則，以相關(guān)法律法規(guī)為準(zhǔn)繩，以開放的態(tài)度充分考慮解決當(dāng)前爭(zhēng)端的一切方案，并將繼續(xù)積極采取行動(dòng)減少股東損失、最大程度維護(hù)上市公司合法權(quán)益。

Our company believes that any communication regarding the proper resolution of the Nexperia incident should be based on equality and fairness, fully safeguarding the legitimate rights and interests of Wingtech Technology's shareholders. Our company will always adhere to this principle, take relevant laws and regulations as the criterion, and consider all solutions to resolve the current dispute with an open attitude. We will continue to take proactive actions to minimize shareholder losses and maximize the protection of the legitimate rights and interests of the listed company.

三、關(guān)于安世中國(guó)區(qū)運(yùn)營(yíng)情況的說明

事件發(fā)生以來，安世半導(dǎo)體中國(guó)區(qū)始終嚴(yán)格依照上市公司治理規(guī)則及監(jiān)管要求自主合規(guī)運(yùn)營(yíng)。目前，中國(guó)區(qū)已實(shí)現(xiàn)MOSFET及邏輯IC產(chǎn)品的供應(yīng)鏈閉環(huán)，預(yù)計(jì)將于年內(nèi)完成雙極晶體管產(chǎn)品線的供應(yīng)鏈閉環(huán)，所有產(chǎn)品質(zhì)量標(biāo)準(zhǔn)均嚴(yán)格遵循安世半導(dǎo)體全球統(tǒng)一規(guī)范。我們衷心感謝廣大供應(yīng)商、客戶的持續(xù)信任與堅(jiān)定支持，中國(guó)區(qū)將持續(xù)保障穩(wěn)定、高質(zhì)量的產(chǎn)品供應(yīng)，服務(wù)全球客戶需求。

Since the incident, Nexperia China has strictly operated independently in compliance with the governance rules of listed companies and regulatory requirements. Currently, the China region has achieved a closed-loop supply chain for MOSFET and logic IC products and is expected to complete the closed-loop supply chain for bipolar transistor product lines within the year. All product quality standards strictly adhere to Nexperia's globally unified standards. We sincerely thank our suppliers and customers for their continued trust and strong support. The China region will continue to ensure the stable and high-quality supply of products to meet the needs of global customers.
